1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ambrosia Ventures LLC ("Company," "we," "us," or "our") governing your access to and use of the Deal Calculator tool available at calculator.ambrosiaventures.co (the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

The Ambrosia Ventures Deal Calculator is an informational tool that provides estimated deal term benchmarks for oncology and life sciences licensing and M&A transactions. The Service generates estimates based on publicly available deal data, industry benchmarks, and algorithmic analysis of user-provided inputs.

The Service includes:

• Deal term estimation calculator
• Historical calculation storage
• PDF report generation (Pro tier)
• Partner matching suggestions (Pro tier)

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Warranty: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
• No Liability for Decisions: We are not responsible for any business, investment, or strategic decisions you make based on information from the Service. You assume all risk associated with using the Service outputs.
• Limitation of Damages: In no event shall Ambrosia Ventures, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
• Maximum Liability: Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Pro Tier: Enhanced functionality is available through a paid subscription. By subscribing, you agree to:

• Pay all applicable fees when due
• Provide accurate billing information
• Accept automatic renewal unless cancelled before the renewal date
• Understand that subscription fees are generally non-refundable except as required by law

8. Data and Privacy

9. Modifications to Service and Terms
